The Terms of Service

These terms form the foundational agreement between nodexo and every client, collaborator, and visitor. They are not abstract legalese; they are the practical guidelines that enable clear communication, protect creative work, and ensure a smooth, respectful collaboration. Core Principles & Scope of Work

1. Creative Ownership & Credit

Upon full payment, the client receives full ownership of final deliverables for the project's intended use. nodexo retains the right to feature the work in our portfolio, case studies, and marketing materials, unless a formal Non-Disclosure Agreement (NDA) is signed prior to project initiation. We always credit our clients.

2. Scope of Engagement

Every project begins with a signed proposal and Statement of Work (SOW) detailing deliverables, milestones, and timeline. Requests outside this scope are considered change orders, requiring a formal amendment. This protects both parties from scope creep and ensures the project stays on schedule and budget.

Navigating Trade-offs & Our Method

Design decisions are rarely clear-cut. Our terms reflect an understanding of the compromises necessary to balance vision, feasibility, and impact.

Option A: Rapid Launch

  • Downside: Less time for deep user research and iteration.
  • Mitigation: We employ lean discovery sprints and leverage pattern libraries to accelerate development without sacrificing core usability.
  • Our Terms: We will flag assumptions and request a prioritized feature set to ensure the MVP is sound.

Option B: Deep Polish

  • Downside: Higher initial investment and longer timeline.
  • Mitigation: We define clear phases (e.g., Foundation, Iteration, Launch) with distinct sign-offs and budgets per phase.
  • Our Terms: Budget phasing is locked in the SOW. Changes to scope after a phase is complete require a new estimate.

Method Note: Evaluation & Robustness

Our evaluation of project success is rooted in two factors: Client Satisfaction (measured through formal milestones and feedback sessions) and Functional Integrity (post-launch performance metrics like site speed and accessibility scores). We do not promise specific conversion rate increases or revenue outcomes, as those depend on factors beyond our direct control (e.g., market conditions, ad spend, operational efficiency). Our terms stipulate that we provide detailed handoff documentation and a 30-day post-launch support period to address critical bugs, ensuring the solution is robust and transferable.

Payment Schedule

30% deposit to secure a start date, 50% at final sign-off, 20% on final file delivery. Payments are non-refundable but may be applied to future work by agreement.

Revisions

Two rounds of revisions are included per phase. Additional rounds are billed at our hourly rate of 180 USD. We focus revisions on brand guidelines, not aesthetic preference.

Liability

Our total liability is capped at the project fee. We are not liable for consequential damages (e.g., loss of profit) arising from the use of deliverables.

Termination

Either party may terminate with 14 days written notice. Client pays for all work completed, and nodexo provides all current assets.

Governing Law

These terms are governed by the laws of Colombia. Any disputes will be resolved through mediation in Medellín before pursuing legal action.
